Festo CorporationMississauga, Ontario Reports to: Katrina Grafskaia, Director of Finance (Local) /Pamela Weinsaft, Director of Legal/General Counsel NAM(Matrix) Summary: Festo is seeking a business-oriented Legal Counsel to join its North American Legal Department. Reporting to the General Counsel for NAM, this role will provide legal support across Festo's Canadian and North American operations, with a primary focus on commercial contracts, compliance, and legal risk management. The successful candidate will serve as a trusted advisor to internal stakeholders, partnering with teams across Procurement, Sales, Finance, Human Resources, Operations, and Information Technology. This position offers an excellent opportunity for a lawyer seeking broad in-house experience while supporting a diverse range of commercial, regulatory, and operational matters. The ideal candidate is fluent in both English and French, possesses strong contract drafting and negotiation skills, and is comfortable using technology tools, including AI-enabled solutions, to improve productivity and streamline work processes. Location: Mississauga Head Office Responsibilities: Commercial Contracting · Draft, review, negotiate, and advise on a broad range of commercial agreements, including Customer and vendor agreements, procurement and supply agreements, confidentiality agreements/NDAs, Software, SaaS, cloud services, and technology agreements, consulting and professional services agreements, distribution and channel partner agreements, terms and conditions and other commercial documents · Review and negotiate contracts in both English and French · Provide practical, business-focused legal advice regarding contractual rights, obligations, and risk allocation · In conjunction with the resto the NAM team, develop and maintain contract templates, playbooks, and standard processes to improve efficiency and consistency. ·Partner with cross-functional teams across the organization to gather requirements, map workflows, and align on solution scope Compliance and Risk Management · Support corporate compliance initiatives regarding Competition and antitrust matters, Anti-corruption and ethics requirements, Privacy and data protection, trade compliance for US and Canada, Corporate governance · Records retention and other regulatory requirements, support the implementation and administration of company policies and procedures · Develop and deliver legal training to business teams Minimum Requirements: · Juris Doctor (J.D.), L.L.B., or equivalent law degree from an accredited institution; Member in good standing of the Law Society of Ontario. · 5+ years’ experience of relevant contract review, drafting and negotiation skills · 2+ years’ experience as contract administrator or counsel, reviewing commercial contracts for sale or purchase of goods · Self-motivated individual with the ability to identify and resolve issues in a timely manner · Strong verbal and written communication skills in English & French; ability to communicate effectively with people at all levels of the corporate structure, as well as external parties · Ability to prioritize and timely handle numerous competing demands in a high-volume working environment · Proficiency with Microsoft Suite: Teams, Word, Excel & PowerPoint · Experience with compliance topics such as antitrust and conflict of interest considered an asset The salary range for this position is $100,000 - $130,000.
