JOB DESCRIPTION: POSITION PURPOSE As a member of the leadership team in the Legal Department, the Assistant General Counsel - Technology, Digital Innovation & Strategic Sourcing serves as a senior legal leader and trusted advisor across the enterprise. This role provides strategic and practical counsel on technology, data, digital initiatives, artificial intelligence, privacy, cybersecurity, strategic sourcing, contracting, and compliance; supports and leads complex negotiations and cross-functional legal matters; and develops legal strategies aligned with business priorities. The Assistant General Counsel leads a small team of lawyers and support staff, balances business, legal, and operational considerations, manages outside counsel, and drives disciplined execution, risk mitigation, talent development, organizational capability, and continuous improvement within delegated areas of responsibility. POSITION RESPONSIBILITIES Serve as the lead legal advisor for AI, technology, data, and strategic sourcing matters across the enterprise, providing practical, risk-based counsel to functional leaders and business teams and participating in Tech & Data and Strategic Sourcing leadership teams. Advise on and shape company policies regarding data privacy, cybersecurity, artificial intelligence, data governance, digital platforms, software development and deployment, cloud services, technology implementation, and the use of data. Drive responsible digital innovation by proactively identifying opportunities to modernize legal, sourcing, and business processes, enabling the practical adoption of emerging technologies and digital capabilities, and guiding stakeholders through disciplined risk assessment, governance, and execution. Advise on strategic sourcing matters, including supplier selection and onboarding, commercial terms, supplier risk, performance concerns, disputes, and pre-litigation matters. Partner with Tech & Data, Strategic Sourcing, and business teams to identify legal requirements, evaluate risk and tradeoffs, and develop practical strategies that support responsible innovation and organizational objectives. Lead and manage the legal review and negotiation of complex technology, data, supply, and services agreements, including SaaS, cloud, software license, data processing, data sharing, information security, administrative services agreements, professional services, consulting, confidentiality, purchasing, supply, and other commercial agreements. Provide strategic legal support for significant sourcing initiatives and supplier relationships, including negotiation strategy, contracting structures, risk allocation, performance issues, and escalation paths. Develop, implement, and maintain legal strategies, policies, standards, templates, playbooks, training, and governance processes for technology, data, artificial intelligence, privacy, data incident response, cybersecurity, contracting, and strategic sourcing matters. Monitor relevant legal and regulatory developments, assess their potential business impact, and translate evolving requirements into clear, actionable guidance for stakeholders.
